Terms of Service

Welcome to OYEPA. These Terms of Service govern your acquisition, deployment, and use of our custom retrieval-augmented generation (RAG) architectures, software builds, and user experience (UX) design systems. By engaging our services or initializing a project scope, you agree to comply with and be bound by the absolute parameters detailed below.

1. Engagement & Scope of Verification

Every project engineering sequence is governed by a dedicated, deterministic Scope of Verification (SoV) document executed prior to development.

  • Our services are limited strictly to the custom parameters, data pipelines, and visual interfaces explicitly detailed within the agreed engineering scope.
  • Any modifications, feature expansions, or structural adjustments requested outside the initial boundary conditions will require an independent change order evaluation.
  • Development milestones are locked to strict delivery schedules, tracked via private staging environments or sandboxes managed by our internal team.

2. Intellectual Property & Asset Sovereignty

The ownership matrix of your system transitions dynamically based on deployment and final asset handover execution states.

  • During Development: OYEPA retains exclusive ownership of all source code, model configurations, logic components, vector data indexes, and UX wireframes stored within our sandboxes.
  • Upon Handover: Following completion of milestone approvals and final transaction clearance, absolute asset sovereignty shifts permanently to you. You gain permanent ownership of the custom code base, custom embedding configurations, layout layers, and data architectures.
  • Open-Source Dependencies: Your system may incorporate open-weights foundational models or open-source infrastructure modules. These components remain subject to their respective native licenses (e.g., Apache 2.0, MIT).

3. Client Infrastructure & Access Requirements

To engineer and execute private AI solutions directly onto your network, your technical ecosystem must fulfill the following operational criteria:

  • You must provide secure, isolated, and authenticated access to your target server environments, private clouds, or database endpoints as requested during the data audit phase.
  • All underlying host hardware performance, virtual private server (VPS) uptimes, and direct internet service provider connections remain your sole financial and operational responsibility.
  • OYEPA is not liable for infrastructure failures, deployment delays, or system drops originating from your chosen third-party server providers or hosting accounts.

4. Data Integrity & Security Boundaries

We operate under strict privacy isolation protocols to protect your client records, historical internal models, and systemic enterprise data.

  • Our pipeline engineering is explicitly designed to process, ingest, and ground information inside a private framework. No client-owned data records are parsed or exposed to third-party public optimization models.
  • You maintain absolute ownership and hold complete legal liability for all records, files, documentation, and database feeds supplied to our team for model training, testing, or indexing.
  • You warrant that all assets provided do not violate any local privacy statutes, copyright protections, or regional data storage compliance structures.

5. Financial Parameters & Capital Schedule

Transactions are structured under fixed-cost milestones to prevent arbitrary pricing inflation.

  • Projects require a standard capital allocation consisting of a 50% upfront deposit to initiate engineering and a 50% final payment triggered upon verification and successful server deployment.
  • Failure to meet scheduled payment timelines halts all staging environment tasks, ingestion pipelines, and code transitions until accounts are current.
  • All transaction parameters are governed directly by the conditions highlighted within our companion Refund Policy.

6. Limitation of Liability

OYEPA builds, tests, and validates architectural pipelines to perform explicitly under concrete input conditions. Beyond the boundaries of our standard 90-day structural warranty, our liability is restricted as follows:

  • We are not responsible for software issues, prompt fractures, or logical degradation caused by structural modifications executed by your internal developers or third-party teams post-handover.
  • OYEPA shall not be held liable for any indirect, incidental, existential, or consequential damages, including but not limited to loss of real estate revenues, operational downtime, client management errors, or data record pool corruption.
  • In no event shall our total aggregated financial liability under this agreement exceed the total capital amount paid directly to OYEPA by your organization for the specific project scope.
